1. Agreement to Terms
By accessing or using Vocal Engine AI services, you agree to these Terms & Conditions. If you do not agree, you must discontinue use of our services.
2. Services
Vocal Engine AI provides AI-powered automation solutions including:
- AI voice agents
- Automated call handling
- Appointment booking and rescheduling
- Call summaries and note-taking
- CRM integrations
- Workflow automation
Specific deliverables are defined in individual client agreements.
3. Client Responsibilities
Clients agree to:
- Provide accurate and lawful information
- Maintain lawful data collection practices
- Obtain proper consent for customer communications where required
- Use services in compliance with federal and state regulations
- Not use services for fraudulent or unlawful activities
Clients are solely responsible for how AI systems are deployed within their business operations.
4. Confidentiality
We treat all client business information as confidential. We will not:
- Disclose proprietary business processes
- Share client contact databases
- Access data outside the scope of authorized service
Confidentiality obligations survive termination of services.
5. Payments
Fees and billing structures are defined in client agreements.
Failure to remit payment may result in suspension or termination of services.
Setup fees are non-refundable unless otherwise stated in writing.
6. Intellectual Property
Clients retain ownership of their business data. Vocal Engine AI retains ownership of:
- Proprietary software
- AI configurations
- Automation frameworks
- Custom system architectures
No intellectual property rights are transferred unless explicitly agreed.
7. Limitation of Liability
To the maximum extent permitted under U.S. law:
- Vocal Engine AI shall not be liable for indirect, incidental, or consequential damages.
- We are not responsible for regulatory penalties resulting from client misuse.
- Liability shall not exceed the fees paid within the preceding billing period.
8. Indemnification
Clients agree to indemnify and hold harmless Vocal Engine AI from claims arising out of:
- Improper deployment of AI systems
- Violation of telecommunication laws
- Unauthorized data collection
- Regulatory non-compliance
9. Termination
Either party may terminate services per the agreement terms. Upon termination:
- System access may be revoked
- Outstanding balances remain payable
- Data handling follows retention policy
10. Governing Law
These Terms are governed by the laws of the United States and the applicable state jurisdiction outlined in the service agreement.
